TERMS OF USE

The following Terms of Use (“Terms”) constitute a binding legal agreement between you, on the one hand, and Natalie Guzman, LLC dba Safe Rides with Natalie (collectively, "Safe Rides", “we”, “us”, or “our”), on the other hand. These Terms govern your access to and use of any Safe Rides portal, content, products, and related services (collectively, the “Safe Rides Platform”). READ THESE TERMS CAREFULLY AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND NATALIE GUZMAN, LLC.

PLEASE BE ADVISED: THIS AGREEMENT CONTAINS PROVISIONS THAT GOVERN HOW CLAIMS BETWEEN YOU AND NATALIE GUZMAN, LLC CAN BE BROUGHT (SEE SECTION 14 BELOW). THESE PROVISIONS WILL, WITH LIMITED EXCEPTION, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST NATALIE GUZMAN, LLC TO FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, GROUP OR REPRESENTATIVE ACTION OR PROCEEDING. YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS AGREEMENT AND HAVE TAKEN TIME TO CONSIDER THE ARBITRATION PROVISIONS.

By entering into the Terms, and/or by accessing or using the Safe Rides Platform, you expressly confirm that you understand the Terms (including the arbitration provisions in Section 14) and agree to be bound by the Terms. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SAFE RIDES PLATFORM.

These Terms incorporate by reference our Safe Ride Guidelines, Pricing and Payment Terms, and any other pages incorporated herein by reference. For more information, please visit our website at www.SafeRideswithNatalie.com.

1. Right to Modify Terms. PLEASE NOTE THAT THESE TERMS ARE SUBJECT TO CHANGE BY NATALIE GUZMAN, LLC IN ITS SOLE DISCRETION AT ANY TIME. Natalie Guzman, LLC reserves the right to modify these Terms, and such modifications shall be binding on you upon your acceptance of the modified Terms. Continued use of the Safe Rides Platform to arrange for “Services” (defined below) after any such modifications shall constitute your consent to such modifications. Unless material changes are made to the arbitration provisions herein, you agree that modification of these Terms does not create a renewed opportunity to opt out of arbitration (if applicable). Natalie Guzman, LLC also reserves the right to modify any information contained in any pages incorporated herein by reference or any information referenced in any of the hyperlinks set forth in these Terms, and such modifications shall become effective upon posting.

2. The Safe Rides Platform.

a. Generally, Safe Rides with Natalie is an online platform which enables Users to connect, arrange for, and schedule rides for minors and other eligible riders. “Users” refers to and includes (i) Natalie Guzman and employed CareDrivers of Safe Rides with Natalie, who uses an approved personal vehicle to provide transportation and caregiving services (“Driver”); (ii) “Organizers” (including parents/guardians) who need transportation for (a) family members, (b) members of other account-holders’ family, or (c) other riders for whom they are legally authorized to arrange rides (collectively, “Riders”). Organizers and Driver are free to use the Safe Rides Platform to communicate and contract with one another. Services provided by Driver at the request of an Organizer constitute a separate agreement between such persons. Organizers are responsible for paying Driver for the Services they contract for using the Safe Rides Platform.

As a User, you acknowledge that your ability to arrange for, and/or obtain Services using the Safe Rides Platform does not in any way establish Natalie Guzman, LLC or any employee CareDrivers of Safe Rides with Natalie as your employee. No employment or agency relationship exists between you and Natalie Guzman, LLC or employee Care Drivers of Safe Rides with Natalie.

b. Organizers and Riders. Each Organizer will need to create an account in order to access or use the Safe Rides Platform. As an Organizer, you have the ability under your account to add Riders for whom you will be arranging Services and to provide certain information about such Riders. For each Rider that you add to your account, you represent and warrant that you have all authorizations, consents, and approvals to provide any information you submit about such Rider. Riders may be added to more than one account (e.g., a parent/guardian).

c. Individual Ride. A Reserved Ride that occurs one time.

d. Recurring Rides. A series of Reserved Rides for a specific time, day of the week, or recurring pattern.

e. Local Ride. A ride that begins and ends within the Local Service Areas. See www.saferideswithnatalie.com for current maps.

f. Non-Local Ride. A ride that begins or ends outside of the Local Service Area. See www.saferideswithnatalie.com for current maps.

g. Service Area. Safe Rides with Natalie drives in Southlake, Frisco, and Allen, TX as Local Service Areas. See www.saferideswithnatalie.com for current maps of boundaries.

h. Availability. Organizers may request rides via the Platform by completing a form request that includes all details of the ride including Rider information, pick up time and location, drop off time and location, name and contact information of the emergency contact adult, and details of pick up and drop off procedures. Once the ride availability has been approved by Safe Rides with Natalie the Ride Quote is created and emailed for the Organizer to review, sign and return the Service Contract.

i. Registration. A non-refundable annual fee is paid to Register each Organizer. The fee for Registration is dependent on the frequency and distance of the Reserved Rides planned.

j. Scheduling. After Safe Rides with Natalie has confirmed Availability and the Service Contract has been signed and returned, the Organizer will complete a Date Request form on the Platform. All dates that are requested will be reviewed by Safe Rides with Natalie to assure availability and then Rides will be Reserved.

k. Reserved Rides. Organizers are notified of Reserved Rides by email once the Date Request form has been approved by Safe Rides with Natalie. These reservations are exclusive to the Organizer unless they have been notified to be a Shared Ride (referenced in Section
2(m)). Modification of any Reserved Ride will follow the referenced Reservation Modifications below in Section 2(n).

l. Carpool. Shared rides (a “Carpool”) are available through the Platform. To initiate a Carpool, an Organizer must have approval from the Driver and invite at least one other Organizer to join the ride. Organizers can set up an Individual Carpool or Recurring Carpools. The Organizer, that has initiated the Carpool is responsible for the Carpool fare upon completion of the ride. Invoices for Carpools will not be divided and it is the responsibility of the Organizer to be paid/reimbursed for Carpool fares. Organizers can accept multiple Carpool invitations. 

m. Shared Rides. “Shared Rides” are available when the Driver is able to accommodate pick up or drop off of Riders from same/similar locations for multiple Organizers. Organizers will be notified in advance of the opportunity to Share Rides and are not required to accept. Shared Rides are given a minimum $5.00 discount to each Organizer invoiced for the Shared Ride.

n. Reservation Modifications. From time to time plans change and may require a Reserved Ride to be changed. Below are definitions, procedures, and consequences (if required) for making modifications to a Reserved Ride.

o. Changed Reservation Time. A Reserved Ride that has a modification to the pick up or drop off time only. Notice of a modification to a Reserved Ride time should take place, when possible, more than 48 hours in advance by completing a Date Request form on the Platform. Natalie Guzman will review Availability and notify the Organizer if the request for a new time has been approved or not. If the new time cannot be accommodated, the Organizer will have the option to continue with previously Reserved Ride time or the ride will be canceled. Consequences of Canceled Reserved Rides are referenced below in Section 2(r).

p. Changed Reservation Date. A Reserved Ride that has a modification to the pick up or drop off date only. Notice of a modification to a Reserved Ride time should take place, when possible, more than 48 hours in advance by completing a Date Request form on the Platform. Natalie Guzman will review Availability and notify the Organizer if the request for a new date has been approved or not. If the new date cannot be accommodated, the Organizer will have the option to continue with previously Reserved Ride date or the ride will be canceled. Consequences of Canceled Reserved Rides are referenced below in Section 2(r).

q. Changed Reservation Frequency. A modification to the pick up or drop off frequency is specific to Recurring Reserved Rides Section 2(d). Notice of a modification to a Recurring Reserved Ride times, dates, or days of the week should take place, when possible, more than 30 days in advance of the next Reserved Ride by completing a Date Request form on the Platform. Safe Rides with Natalie will review Availability and notify the Organizer if the request for the Reservation Modification has been approved or not. If the request cannot be accommodated, the Organizer will have the option to continue with the previously Reserved Ride Frequency or the ride will be canceled. Consequences of Canceled Reserved Rides are referenced below in Section 2(r).

r. Canceled Reserved Ride. When a Reserved Ride is no longer needed by the Organizer or can no longer be accommodated by Driver Availability. Consequences of Canceled Reserved Rides are referenced below.

s. Individual Reserved Ride Cancelation. When an Individual Ride is no longer needed by the Organizer, an email must be received at driver@saferideswithnatalie.com a minimum of 48 hours in advance of the Reserved Ride in order to avoid a Cancelation Fee (referenced below in Section 2(dd)). Exceptions to Cancelation Fee charges are referenced in Section 2(ee).

t. Recurring Reserved Ride or Before/After School Ride Cancelation. When an Recurring Ride is no longer needed by the Organizer, an email must be received by at driver@saferideswithnatalie.com a minimum of 30 days in advance of the next Reserved Ride in order to avoid a Cancelation Fee (referenced below in Section 2(dd)). Exceptions to Cancelation Fee charges are referenced in Section 2(ee). Summer/Fall School Rides dates are 8/12/24 - 1/3/25 6:30 am - 8:30 am and 2:30 pm - 5 pm, Winter/Spring School Rides dates are 1/6/25 - 5/23/25 6:30 am - 8:30 am and 2:30 pm - 5 pm. Extracurricular Fall dates are 8/19/24 - 11/1/24 5 pm - 6:30 pm, Extracurricular Winter dates are 11/4/24 - 3/14/25 5 pm - 6:30 pm, Extracurricular Spring dates are 3/24/25 - 5/23/25 5 pm - 6:30pm.

u. Late for Reserved Rides. All Reserved Ride pick up times should be made to allow for the Rider to begin the ride at pick up time. Driver will wait for Rider(s) for 10 minutes after the Reserved Ride pick up time. Contact will be made with the Organizer, the Emergency Contact for the Rider, and the Rider if their contact information has been provided. NO RIDER WILL BE LEFT BEHIND WITHOUT SPEAKING TO AN ADULT CONTACT. If a Rider has two or more instances of arriving for a Reserved Ride late, Availability will be reviewed to Change Reservation Time. If a Rider has three or more instances of arriving for a Reserved Ride late, the Reserved Ride will be at risk for cancelation by Safe Rides with Natalie and Registration Fee may be required to make future Reserved Rides. Charges (referenced below in Section 2(dd)) and exceptions to Late Fees are referenced in Section 2(ee).

v. No Show for Reserved Rides. All Reserved Ride pick up times should be made to allow for the Rider to begin the ride at pick up time. Driver will wait for Rider(s) for 10 minutes after the Reserved Ride pick up time. Contact will be made with the Organizer, the Emergency Contact for the Rider, and the Rider if their contact information has been provided. NO RIDER WILL BE LEFT BEHIND WITHOUT SPEAKING TO AN ADULT CONTACT. If a Rider has one or more instances of NOT ARRIVING for a Reserved Ride, Availability will be reviewed to Change Reservation Time. If a Rider has two or more instances of NOT ARRIVING for a Reserved Ride, the Reserved Ride will be at risk for cancelation by Safe Rides with Natalie and Registration Fee may be required to make future Reserved Rides. Charges (referenced below in Section 2(dd)) and exceptions to No Show Fees are referenced in Section 2(ee).

w. Invoice. Notice of charges for Registration, Reserved Rides, and Fees will be reflected on a weekly basis to the Organizers account invoice. Invoices are sent to the email provided on the Organizer account and are also available by logging in directly to the Platform. Records of prior invoices and future invoices for Reserved Rides are available to print or save for Organizer bookkeeping needs in the Platform.

x. Charges and Fees. Charges for Reserved Rides and Fees will be itemized weekly on Invoices.

y. Discounts. Safe Rides with Natalie may offer promotional codes to be used toward future invoices. You must enter the promotional code when making payment to the invoice in order to have your invoice total decrease. No refunds will be given if promotional code is not entered prior to payment. If you are having difficulty using a promotional code, email driver@saferideswithnatalie.com.

z. Payments. Payment for Reserved Rides is due weekly on Fridays and is made online through the Platform only. Organizers may make payment in advance of due dates by choosing the appropriate future invoice date in the Platform.

z1. Auto-pay. Payment information can be stored to allow for easier payments for Reserved Rides. This service is required for Before / After School Rides and is optional for any other rides that have a routine frequency. Summer/Fall School Rides dates are 8/12/24 - 1/3/25 6:30 am - 8:30 am and 2:30 pm - 5 pm, Winter/Spring dates are 1/6/25 - 5/23/25 6:30 am - 8:30 am and 2:30 pm - 5 pm. 

aa. Gratuity. The opportunity to add gratuity is provided at the payment screen for each invoice. Gratuity is not expected, but is appreciated.

bb. Late Payments. Payment for Reserved Rides is due weekly on Fridays. Invoices not paid by 12PM Saturday will be charged a $25 fee, with an additional fee of $10 per day late added until the balance is paid. Reserved Rides may be suspended until outstanding invoice is paid. If you are experiencing a Financial Hardship, email driver@saferideswithnatalie.com.

cc. Financial Hardship. Loss of employment, hospitalization, and extended illness may cause a Financial Hardship. Notice of financial hardship by email to driver@saferideswithnatalie.com may allow Organizers an additional grace period for invoiced charges to be due without penalty. The Financial Hardship decision is made on a case by case basis as to what financial relief may be offered.

dd. Schedule of Charges and Fees. Below are charges and fee categories that may appear on your Invoice. The fees listed below may change at any time as reviewed in Section 1.

ee. Exceptions. Charges or Fees may be waived with notice of Financial Hardship (referenced in Section 2(cc)), Rider Illness (referenced in Section 2(ff)), or unplanned circumstances. The Financial Hardship decision is made on a case by case basis as to what financial relief may be offered. To discuss if you qualify for an Exception, email driver@saferideswithnatalie.com.

ff. Illness. Riders are unable to use Reserved Rides if they have any of the following symptoms: fever of 100° or higher, vomiting, diarrhea, or pink eye within 24 hours of a Reserved Ride. Confirmed diagnosis of flu, COVID-19, pink eye and strep throat will require the Rider to refrain from rides for 5 business days or symptoms are no longer present for 24 hours without the use of medication. Email driver@saferideswithnatalie.com as soon as symptoms present or diagnosis is made.

gg. Time Off. Safe Rides with Natalie will follow the Keller ISD, Carroll ISD, Grapevine-Colleyville ISD, Frisco ISD, and Allen ISD student calendars for observed holidays, lockdown, and inclement weather closures. 30 days notice will be given for any changes to Reserved Rides for Driver availability. When needed, Safe Rides with Natalie will provide a discount for any rides not fulfilled due to an unavailable Driver.
Summer/Fall School Rides dates are 8/12/24 - 1/3/25 6:30 am - 8:30 am and 2:30 pm - 5 pm, Winter/Spring dates are 1/6/25 - 5/23/25 6:30 am - 8:30 am and 2:30 pm - 5 pm. Extracurricular Fall dates are 8/19/24 - 11/1/24 5 pm - 6:30 pm, Extracurricular Winter dates are 11/4/24 - 3/14/25 5 pm - 6:30 pm, Extracurricular Spring dates are 3/24/25 - 5/23/25 5 pm - 6:30pm.

hh. Additional Features. We are always looking for ways to improve our Platform and may add, change, or remove features or offerings at any time.

3. Requirements for use of the Safe Rides Platform. In order to use the Safe Rides Platform, you warrant your understanding and agreement to all of the following requirements:

a. You must be at least eighteen (18) years of age and have the right, authority, and capacity to enter into and abide by the terms and conditions of these Terms.

b. You must create an account on our Safe Ride Platform with an authentic email address. You agree not to create more than one account as an Organizer. You must not use a false identity or provide any false information to create your account. You may not create an account for someone else unless you have the legal authority to do so. You shall have no ownership or other property interest in your account.

c. You must safeguard your username and password information. You may not share this information with anyone else and are responsible for all activity under your account. You agree that you shall monitor your account to restrict use by minors and you shall not allow your children to use your account.

d. We agree to provide and maintain true, accurate, current and complete information about Drivers at all times.

e. Safe Rides with Natalie reserves the right to remove or reclaim any usernames at any time and for any reason.

f. You must provide all equipment and software necessary to connect to the Safe Rides Platform, including but not limited to, a mobile device that is suitable to connect with and use the Platform and apps to view the Platform. You are solely responsible for any expenses or fees, including Internet connection or mobile fees that you incur when accessing the Platform.

g. We must treat all information about Users, including profile information about Organizers and Riders, and other “User Submissions” (defined below) as confidential information. We may use this information only for the purpose of fulfilling Services as a Driver and/or as reasonably necessary to participate in the Services you arrange for, using the Safe Rides Platform. We may not otherwise share this information with any third party.

h. You acknowledge and agree that we will save e-mails/texts ("communication") placed or received via the Platform (such as between Driver and Organizers and/or Riders) and such communication will be stored by us. BY ACCEPTING THE TERMS AND SENDING OR REPLYING TO A COMMUNICATION THROUGH THE PLATFORM (WHETHER AS AN ORGANIZER OR RIDER), YOU EXPLICITLY CONSENT TO NATALIE GUZMAN,LLC STORING SUCH COMMUNICATION. IF YOU DO NOT CONSENT TO SUCH STORAGE, DO NOT SEND OR REPLY TO EMAIL/TEXT THROUGH THE PLATFORM.

4. Mobile Application.

a. Subject to your compliance with these Terms, Safe Rides with Natalie will give you access to the Driver GPS location during Services on a mobile device that you own or control with a phone number or email registered to your Organizer profile and is solely to access the Platform for your own internal purposes.

b. The following applies to any Apple iOS Application:

(i). You acknowledge and agree that (a) these Terms are between you and Natalie Guzman, LLC only, and not Apple, and (b) Apple, and not Natalie Guzman, LLC is solely responsible for the Apple iOS Application and content thereof. Your use of the Apple iOS Application must comply with the Apple Media Services Terms and Conditions.

(ii). You acknowledge that Safe Rides with Natalie has no obligation whatsoever to furnish any maintenance and support services with respect to the Apple iOS Application "GoogleMaps".

c. The following applies to any Application accessed through or downloaded from the Google Play Store (“Google-Sourced Application”): (i) you acknowledge that these Terms are between you and Natalie Guzman, LLC only, and not with Google, Inc. (“Google”); (ii) your use of Google-Sourced Application must comply with Google’s then-current Google Play Store Terms of Service; (iii) Google is only a provider of the Google Play Store where you obtained the Google-Sourced Application; (iv) Google, and not Natalie Guzman, LLC is solely responsible for its Google-Sourced Application; (v) Natalie Guzman, LLC has no obligation or liability to you with respect to Google-Sourced Application or these Terms.

d. Certain features of the Platform require access to and use of the Driver device’s map features or functionality, such as Google Maps, or other third party services. Any use of those features will be subject to the terms and conditions applicable to such third party services.

e. You understand that the Safe Rides Platform is evolving. As a result, Safe Rides with Natalie may require you to accept updates to the GPS Application or other software that you have installed on your computer or mobile device. You acknowledge and agree that Safe Rides with Natalie may update the GPS Application with or without notifying you. You may need to update third party software from time to time in order to use the Platform or GPS Application.

5. Communication from Safe Rides with Natalie. By entering into these Terms or using the Platform, you agree to receive communications from us, including via e-mail, text message, and calls. You agree that texts, calls or prerecorded messages may be generated by automated telephone dialing systems. Communications between Safe Rides with Natalie and other Users, including Drivers and Organizers, may include but are not limited to: improving or using the Platform, operational communications concerning your account or the Services you receive, updates concerning new and existing features relating to the Platform, communications concerning promotions run by us or our third-party partners, and news concerning Safe Rides with Natalie and industry developments. We do not charge for this feature. However, any standard text messaging charges applied by your cell phone carrier will apply to text messages we send.

IF YOU WISH TO OPT OUT OF PROMOTIONAL EMAILS, YOU CAN UNSUBSCRIBE FROM OUR PROMOTIONAL EMAIL LIST BY FOLLOWING THE UNSUBSCRIBE OPTIONS IN THE PROMOTIONAL EMAIL ITSELF. IF YOU WISH TO OPT OUT OF PROMOTIONAL CALLS OR TEXTS, YOU MAY REPLY “STOP” TO A SAFE RIDES WITH NATALIE TEXT MESSAGE FROM THE MOBILE DEVICE RECEIVING THE MESSAGES. YOU ACKNOWLEDGE THAT YOU ARE NOT REQUIRED TO CONSENT TO RECEIVE PROMOTIONAL TEXTS OR CALLS AS A CONDITION OF USING THE SERVICES OR THE SERVICES.

IF YOU WISH TO OPT OUT OF ALL TEXTS OR CALLS FROM SAFE RIDES WITH NATALIE (INCLUDING OPERATIONAL OR TRANSACTIONAL TEXTS OR CALLS), YOU CAN REPLY “STOPALL” TO A SAFE RIDES WITH NATALIE TEXT MESSAGE FROM THE MOBILE DEVICE RECEIVING THE MESSAGES, HOWEVER YOU ACKNOWLEDGE THAT BY OPTING OUT OF RECEIVING ALL CALLS OR TEXTS YOU WILL NO LONGER BE ABLE TO USE THE SERVICES, AS SUCH COMMUNICATIONS ARE NECESSARY FOR PROVIDING THE SERVICES. WE WILL NOT BE LIABLE FOR ANY DELAYS IN THE RECEIPT OF ANY SMS MESSAGES AS DELIVERY IS SUBJECT TO EFFECTIVE TRANSMISSION FROM YOUR MOBILE SERVICE OPERATOR.

6. Intellectual Property.

a. Except for User Submissions (defined below) and third party content, the Platform, including text, software, graphics, photos, interactive features and other content and the trademarks displayed on the Platform, including the Safe Rides with Natalie website, are owned by Natalie Guzman, LLC and its licensors and are subject to copyright, trademark, and other intellectual property rights under U.S. and international laws.

7. User Submissions. The Safe Rides Platform may enable you to post, upload, e-mail, transmit or otherwise make available, your own content, information, data or materials (“User Submissions”). User Submissions are the sole responsibility of the party from whom such User Submissions originated. You grant us a non-exclusive, fully-paid, world-wide, transferable, perpetual, irrevocable, royalty-free license, with the right to grant sublicenses, to display, publicly perform, distribute, store, transcode, broadcast, transmit, reproduce, edit, modify, create derivative works, and otherwise use your User Submissions in any manner, in any medium, for any purpose in connection with the Safe Ride Platform, website or Application. You acknowledge and agree that you have no expectation of compensation, privacy, or confidentiality with respect to any User Submission. User Submissions may be available to other Users (such as Organizers). We may refuse or remove User Submissions at any time. You represent and warrant that you own all rights in your User Submissions or you have acquired all necessary rights in your User Submissions to enable you to grant Natalie Guzman, LLC the rights in your User Submissions described above. We have no obligation to pre-screen User Submissions or any other content on the Safe Rides Platform, although we reserve the right in our sole discretion to pre-screen, refuse or remove such content.

8. Feedback. Safe Rides with Natalie is continually looking to improve its Platform and encourages Users to provide feedback about their experience using the Platform and the Services that Users provide or arrange for through the Platform or website. All Users consent to feedback from other Users. Feedback on Driver may be shared with Users and may be used for any purpose without attribution, accounting or compensation to you.

9. Third Party Websites and Service Providers. You agree that it is impossible for Natalie Guzman, LLC to monitor such materials and that you access these materials at your own risk. The Safe Rides Platform may provide information from and links to third party websites and applications (“Third Party Websites”) and advertisements for third parties (collectively, “Third Party Websites & Ads”). When you click on a link to any Third Party Websites & Ads, we will not warn you that you have left our website or Platform and are subject to the terms and conditions (including privacy policies) of another website, application or destination. Such Third Party Websites are not under the control of Natalie Guzman, LLC. Natalie Guzman, LLC is not responsible for any Third Party Websites & Ads. Natalie Guzman, LLC provides these Third Party Websites & Ads only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Websites & Ads, or their products or services. You use all links in Third Party Websites & Ads at your own risk. When you leave our website or Platform, our Terms no longer govern. You should review applicable terms and policies, including privacy and data gathering practices, of any Third Party Websites, and should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.

10. Disclaimer. YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE SAFE RIDES PLATFORM, INCLUDING ANY SERVICES PROVIDED BY DRIVERS, IS AT YOUR SOLE RISK, AND THE SAFE RIDES PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS, WHETHER KNOWN OR UNKNOWN. NATALIE GUZMAN, LLC AND ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, AFFILIATES, AGENTS, AND LICENSORS (COLLECTIVELY, THE “COVERED PARTIES”) DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE AND NON-INFRINGEMENT). THIS PROVISION ALSO APPLIES TO, WITHOUT LIMITATION, ANY BOOSTER SEATS THAT MAY BE PROVIDED BY NATALIE GUZMAN, LLC OR ORGANIZER OR THE INSTALLATION OF SUCH BOOSTER SEATS BY DRIVERS. THE COVERED PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF CONTENT AVAILABLE ON OR THROUGH THE SAFE RIDES PLATFORM OR FOR THE CONDUCT OF THE RIDERS, OR OTHER USERS.

WE DO NOT GUARANTEE ORGANIZERS THAT ANY RIDE REQUEST WILL BE ACCEPTED BY SAFE RIDES WITH NATALIE. TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE COVERED PARTIES ARE NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, OR NEGLIGENCE OF ANY USERS OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM. WE DO NOT REPRESENT OR ENDORSE, AND SHALL NOT BE RESPONSIBLE FOR YOUR ABILITY OR INABILITY TO ARRANGE FOR SERVICES USING THE SAFE RIDES PLATFORM. NATALIE GUZMAN, LLC SHALL NOT BE LIABLE FOR ANY DELAY IN OR FAILURE TO PERFORM ANY SERVICES.

11. Limitation of Liability. YOU UNDERSTAND AND AGREE THAT IN NO EVENT WILL THE COVERED PARTIES BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STATUTORY, OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF COVERED PARTIES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM OR RELATING TO YOUR USE OF THE SAFE RIDES PLATFORM OR SERVICES. IN NO EVENT SHALL THE COVERED PARTIES’ TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT OF FEES WE RECEIVE FROM YOUR RIDE REQUESTS IN THE ONE (1) MONTH PRIOR TO THE DATE OF THE EVENT GIVING RISE TO OUR LIABILITY, OR (Ii) ONE THOUSAND DOLLARS ($1000.00). THE FOREGOING LIMITATIONS OF LIABILITY SHALL NOT APPLY TO LIABILITY OF A COVERED PARTY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY A COVERED PARTY’S NEGLIGENCE; OR FOR (B) ANY INJURY CAUSED BY A COVERED PARTY’S FRAUD OR FRAUDULENT MISREPRESENTATION. THE FOREGOING LIMITATIONS OF LIABILITY ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN NATALIE GUZMAN, LLC AND YOU.

12. Indemnity. You agree to indemnify and hold harmless the Covered Parties against any and all claims, damages, losses, costs, liabilities, and expenses or fees (including reasonable attorneys’ fees), of any kind, relating to or arising out of: (i) your use of the Safe Ride Platform or Services; (ii) your (or in the case of Organizers, your Riders’) violation or breach of any provision of these Terms, the Safe Rides with Natalie Rules, or any applicable law or regulation, whether or not referenced herein; (iii) your violation of any rights of any third party; (iv) your use of, or inability to use, the Safe Ride Platform to arrange for Services or for any reason.

13. Term and Termination. These Terms may be terminated by User, without cause, upon seven (7) days’ written notice to Safe Rides with Natalie, or by either Party immediately, without notice, upon the other Party’s material breach of the Terms. In addition, Natalie Guzman, LLC may terminate the Terms or deactivate your User account immediately in the event (i) you no longer qualify to arrange for Services or; (ii) Natalie Guzman, LLC has the good faith belief that such action is necessary to protect the safety of the Safe Rides with Natalie community or third parties; or, (iii) you fall below any applicable User cancellation threshold. In the event of deactivation pursuant to (i)-(iii) above, you will be given notice of the potential or actual deactivation and an opportunity to cure the breach. If the breach is cured in a timely manner and to Natalie Guzman, LLCs satisfaction, your account and the Terms will not be permanently deactivated. You may not use the Safe Rides Platform after your account has been deactivated unless expressly authorized by Natalie Guzman, LLC. Sections 2, 4(e), 5, 6, 7, 10-12, and 14-18 shall survive any termination or expiration of the Terms.

14. Dispute Resolution. PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH NATALIE GUZMAN, LLC AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. THIS SECTION 14 OF THE TERMS SHALL BE REFERRED TO AS THE “ARBITRATION AGREEMENT.”

a. Agreement to Binding Arbitration Between You and Natalie Guzman, LLC. YOU AND NATALIE GUZMAN, LLC MUTUALLY AGREE TO WAIVE THE RIGHT TO RESOLUTION OF DISPUTES IN A COURT OF LAW BY A JUDGE OR JURY AND AGREE TO RESOLVE ANY DISPUTE BY ARBITRATION, as set forth below. The Arbitration Agreement is governed by the Federal Arbitration Act and survives after the Terms terminates or your relationship with Safe Rides with Natalie ends. ANY ARBITRATION UNDER THIS ARBITRATION AGREEMENT WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. Except as expressly provided below, this Arbitration Agreement applies to all “Claims” (defined below) between you and Natalie Guzman, LLC, including our affiliates, subsidiaries, parents, successors and assigns, and each of our respective officers, directors, employees, agents, or shareholders.

Except as expressly provided below, ALL DISPUTES AND CLAIMS BETWEEN US (EACH A “CLAIM” AND COLLECTIVELY, “CLAIMS”) SHALL BE EXCLUSIVELY RESOLVED BY BINDING ARBITRATION SOLELY BETWEEN YOU AND NATALIE GUZMAN, LLC. These Claims include, but are not limited to, any dispute, claim or controversy, whether based on past, present, or future events, arising out of or relating to: the Terms and prior versions thereof (including the breach, termination, enforcement, interpretation or validity thereof), the Safe Rides Platform, the Services, any other goods or services made available through the Safe Rides Platform, your relationship with Safe Rides with Natalie, the threatened or actual suspension, deactivation or termination of your User account or the Terms, payments made by you or any payments made or allegedly owed to you, any promotions or offers made by Safe Rides with Natalie; and all other federal and state statutory and common law claims. All disputes concerning the arbitrability of a Claim (including disputes about the scope, applicability, enforceability, revocability or validity of the Arbitration Agreement) shall be decided by the arbitrator, except as expressly provided below.

BY AGREEING TO ARBITRATION, YOU UNDERSTAND THAT YOU AND NATALIE GUZMAN, LLC ARE WAIVING THE RIGHT TO SUE IN COURT OR HAVE A JURY TRIAL FOR ALL CLAIMS, EXCEPT AS EXPRESSLY OTHERWISE PROVIDED IN THIS ARBITRATION AGREEMENT. This Arbitration Agreement is intended to require arbitration of every claim or dispute that can lawfully be arbitrated, except for those claims and disputes which by the terms of this Arbitration Agreement are expressly excluded from the requirement to arbitrate.

b. Prohibition of Class Actions and Non-Individualized Relief. YOU UNDERSTAND AND AGREE THAT YOU AND NATALIE GUZMAN, LLC MAY EACH BRING CLAIMS IN ARBITRATION AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT ON A CLASS, COLLECTIVE ACTION, OR REPRESENTATIVE BASIS (“CLASS ACTION WAIVER”). YOU UNDERSTAND AND AGREE THAT YOU AND NATALIE GUZMAN, LLC BOTH ARE WAIVING THE RIGHT TO PURSUE OR HAVE A DISPUTE RESOLVED AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. NOTWITHSTANDING THE FOREGOING, THIS SUBSECTION (B) SHALL NOT APPLY TO REPRESENTATIVE PRIVATE ATTORNEYS GENERAL ACT CLAIMS BROUGHT AGAINST NATALIE GUZMAN, WHICH ARE ADDRESSED SEPARATELY IN SECTION 14(C).

The arbitrator shall have no authority to consider or resolve any Claim or issue any relief on any basis other than an individual basis. The arbitrator shall have no authority to consider or resolve any Claim or issue any relief on a class, collective, or representative basis. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claims.

Notwithstanding any other provision of the Terms, the Arbitration Agreement or the JAMS Rules, disputes regarding the scope, applicability, enforceability, revocability or validity of the Class Action Waiver may be resolved only by a civil court of competent jurisdiction and not by an arbitrator. In any case in which: (i) the dispute is filed as a class, collective, or representative action, and (ii) there is a final judicial determination that the Class Action Waiver is unenforceable as to any Claims, then those Claims shall be severed from any remaining claims and may be brought in a civil court of competent jurisdiction, but the Class Action Waiver shall be enforced in arbitration on an individual basis as to all other Claims to the fullest extent possible.

c. Rules Governing the Arbitration. Any arbitration conducted pursuant to this Arbitration Agreement shall be administered by the Judicial Arbitration and Mediation Services (“JAMS”) pursuant to its General Arbitration Rules & Procedures (“JAMS Rules”) that are in effect at the time the arbitration is initiated, as modified by the terms set forth in this Arbitration Agreement. Copies of the JAMS Rules can be obtained at the JAMS’s website (www.jamsadr.com/adr-rules-procedures) or by calling the JAMS at 1-800-352-5267. Notwithstanding the foregoing, if requested by you and if proper based on the facts and circumstances of the Claims presented, the arbitrator shall have the discretion to select a different set of JAMS Rules, but in no event shall the arbitrator consolidate more than one person’s Claims, or otherwise preside over any form of representative, collective, or class proceeding. The Parties may select a different arbitration administrator upon mutual written agreement.

As part of the arbitration, both you and Natalie Guzman, LLC will have the opportunity for reasonable discovery of non-privileged information that is relevant to the Claim. The arbitrator may award any individualized remedies that would be available in court. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claims. The arbitrator will provide a reasoned written statement of the arbitrator’s decision which shall explain the award given and the findings and conclusions on which the decision is based.

The arbitrator will decide the substance of all claims in accordance with applicable law, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different Riders, but is bound by rulings in prior arbitrations involving the same Rider to the extent required by applicable law. The arbitrator’s award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof, provided that any award may be challenged in a court of competent jurisdiction.

d. Arbitration Fees and Awards. The payment of filing and arbitration fees will be governed by the relevant JAMS Rules subject to the following modifications:

1. If you initiate arbitration under this Arbitration Agreement after participating in the optional Negotiation process described in subsection (h) below and are otherwise required to pay a filing fee under the relevant JAMS Rules, Natalie Guzman, LLC agrees that, unless your claim is for $1,000 or more, your share of the filing and arbitration fees is limited to $50, and that, after you submit proof of payment of the filing fee to Natalie Guzman, LLC, Natalie Guzman, LLC will promptly reimburse you for all but $50 of the filing fee. If, however, the arbitrator finds that either the substance of your claim or the relief sought in the claim is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all such fees will be governed by the JAMS Rules.

2. If Natalie Guzman, LLC initiates arbitration under this Arbitration Agreement, Natalie Guzman, LLC will pay all JAMS filing and arbitration fees.

3 Except as provided in Federal Rule of Civil Procedure 68 or any state equivalents, each party shall pay its own attorneys’ fees and pay any costs that are not unique to the arbitration (i.e., costs that each party would incur if the claim(s) were litigated in a court such as costs to subpoena witnesses and/or documents, take depositions and purchase deposition transcripts, copy documents, etc.).

4. At the end of any arbitration, the arbitrator may award reasonable fees and costs or any portion thereof to you if you prevail, to the extent authorized by applicable law.

5. Under some laws Natalie Guzman, LLC may have a right to an award of attorneys’ fees and non-filing fee expenses if it prevails in an arbitration, Natalie Guzman, LLC will seek such an award regardless if you are represented by an attorney or the arbitrator has determined that the claim is frivolous or brought for an improper purpose.

6. If the arbitrator issues you an award that is greater than the value of Natalie Guzman, LLCs last written settlement offer made after you participated in good faith in the optional Negotiation process described in subsection (h) below, then Natalie Guzman, LLC will pay you the amount of the award or U.S. $1,000, whichever is greater.

e. Location and Manner of Arbitration. Unless you and Natalie Guzman, LLC agree otherwise, any arbitration hearings between Natalie Guzman and an Organizer will take place in the county of your billing address. If JAMS arbitration is unavailable in your county, the arbitration hearings will take place in the nearest available location for a JAMS arbitration.

f. Exceptions to Arbitration. This Arbitration Agreement shall not require arbitration of small claims actions brought on an individual basis that are within the scope of such small claims court’s jurisdiction.

g. Severability. In addition to the severability provisions in subsections (c) above, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable under applicable law, such provision shall be severed and the remainder of the Arbitration Agreement shall be given full force and effect.

h. Optional Pre-Arbitration Negotiation Process. Before initiating any arbitration or proceeding, you and Natalie Guzman may agree to first attempt to negotiate any dispute, claim or controversy between the parties informally for 30 days, unless this time period is mutually extended by you and Natalie Guzman, LLC. A party who intends to seek negotiation under this subsection must first send to the other a written notice of the dispute (“Notice”). The Notice must (1) describe the nature and basis of the claim or dispute; and (2) set forth the specific relief sought. All offers, promises, conduct and statements, whether oral or written, made in the course of the negotiation by any of the parties, their agents, employees, and attorneys are confidential, privileged and inadmissible for any purpose, including as evidence of liability or for impeachment, in arbitration or other proceeding involving the parties, provided that evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable as a result of its use in the negotiation.

15. General. Except as provided in Section 14, any enforcement of or dispute relating to these Terms shall be governed by the laws of the State of Texas without regard to choice of law principles. This choice of law provision is only intended to specify the use of Texas law to interpret these Terms and is not intended to create any other substantive right to non-Texans to assert claims under Texas law whether by statute, common law, or otherwise. If any provision of these Terms is or becomes invalid or non-binding, the parties shall remain bound by all other provisions of these Terms. In that event, the parties shall replace the invalid or non-binding provision with provisions that are valid and binding and that have, to the greatest extent possible, a similar effect as the invalid or non-binding provision, given the contents and purpose of these Terms. You agree that these Terms and all incorporated policies and agreements may be automatically assigned by Natalie Guzman, LLC, in our sole discretion by providing notice to you. Except as explicitly stated otherwise, any notices to Natalie Guzman, LLC shall be given by certified mail, postage prepaid and return receipt requested to Natalie Guzman, LLC, 2808 Country Glen Lane Keller, TX 76248. Any notices to you shall be provided to you through the Safe Rides Platform or given to you via the email address or physical address you provide to Natalie Guzman, LLC when you create or update your account. A party’s failure to act with respect to a breach by the other party does not constitute a waiver of the party’s right to act with respect to subsequent or similar breaches. These Terms set forth the entire understanding and agreement between you and Natalie Guzman, LLC with respect to the subject matter hereof and supersede all previous understandings and agreements between the parties, whether oral or written.

16. Driver Supplemental Terms. By using the Safe Rides Platform to provide Services as a Driver, we acknowledge, represent, warrant, and agree that:

a. Driver is an employee provider of caregiving and/or transportation services. We use the Safe Rides Platform in order to advertise and connect with Users who wish to arrange for our Services, and we provide Services to other Users of the Platform solely on behalf of ourselves. The relationship between you and Natalie Guzman, LLC under these Terms is as an employee.

b. We retain the sole right to determine when, where, and for how long you will utilize the Safe Rides Platform. We retain the option to accept or to decline an Organizer’s request for Services via the Safe Rides Platform, or to cancel an accepted request for Services via the Safe Rides Platform, subject to Safe Rides with Natalies then-current cancellation policies. We determine the rate for your Services when using the Safe Rides Platform by deciding when, where, how many riders, how many stops, how often to accept ride requests, and which ride requests to accept. c. With the exception of any signage required by law or permit/license rules or requirements, Driver may display Safe Rides with Natalie name, logos or colors on your vehicle(s).

d. Driver has a valid driver’s license and all other required licenses, certifications, permits, approvals and authority to provide transportation and caregiving services to third parties in all jurisdictions in which we operate as a Driver using the Safe Rides Platform. We will provide written copies of all required licenses, permits and other documentation necessary to establish our ability to operate as a Driver to Users.

e. We have and can provide proof of valid liability insurance consistent with all applicable legal requirements that names the Driver for the operation of the vehicle used to provide Services.

f. Driver owns, or has the legal right to operate, the vehicle used when providing Services, and such vehicle is in good operating condition and meets industry and all applicable statutory and state department of motor vehicle requirements for a vehicle of its kind.

g. Driver will only provide Services using the vehicle that has been reported. Natalie Guzman, LLC agrees to update Driver information to reflect any change to the vehicle information and provide all requisite information for vehicle approval in advance of using the vehicle to provide Services.

h. You will not attempt to defraud Driver, other Users, or any other third party on the Safe Rides Platform or in connection with our provision of Services. If we suspect that you have engaged in fraudulent activity we may deactivate your account and/or assess applicable charges for the ride(s) in question.

i. Natalie Guzman, LLC agrees that it will provide information about Drivers background on a continuous and ongoing basis, including criminal history and driving records, and we agree to provide any further necessary authorizations to facilitate our access to such records during the term of these Terms, consistent with applicable law or regulations. We agree to immediately self-report any arrest, conviction, or driving infraction.

j. By accepting a ride request, Driver is entering into an agreement with the Organizer to transport the Rider to a predetermined drop off location. Driver must transport a Rider directly to the predetermined drop-off location selected by the Organizer.

k. We must be able to provide satisfactory verification of our identity to the Organizer as the Driver that is matched with the Rider. We are not required to wear a Safe Rides with Natalie t-shirt or other Safe Rides with Natalie-branded apparel. Nothing in these Terms shall limit our right to display another business name, logo or colors on our vehicle or our apparel.

l. Communication must be available between Organizer and Rider to whom the Driver provides Services.

m. Natalie Guzman, LLC complies with all state and federal laws, local ordinances and regulations that apply to the operation of a motor vehicle in the jurisdiction in which we provide Services. Driver will not engage in reckless behavior while driving, drive unsafely, operate a vehicle that is unsafe to drive, permit an unauthorized third party to accompany in the vehicle while providing Services, provide Services as a Driver while under the influence of alcohol or drugs, engage in illegal use of a mobile device, or take action that harms or threatens the safety of the Rider or third-parties.

n. Driver acknowledges and agrees to abide by any applicable drug and alcohol testing.

o. Driver must have a current and working cell phone number at all times.

p. Driver must install and use a car seat or booster as required by law.

q. During a ride, Driver must not interfere with the operation of the GPS Application or disable the collection of location-based information from the mobile device.

r. Driver is responsible for maintaining any licenses, vehicle insurance coverage, or certifications required by law, ordinance, or regulation.

s. Driver will make reasonable accommodation for Riders and/or for service animals, as required by law.

t. Driver must not interfere with the operation of the installed 3-way view Dash Cam or disable the collection of location-based, speed, or visual information from the device. Recording data from Rides must be uploaded to the Safe Rides Platform daily. Failure to comply with daily uploads, evidence of interference or if Dash Cam is disabled may result in termination of employment.

17. Pricing and Payment Terms. As an Organizer, you understand that Drivers provide Services directly to you and that your request or use of Driver Services may result in charges to you (“Charges”). Charges include all applicable fees, tolls, surcharges, and taxes as set forth in the Pricing and Payment Terms and your pricing. You expressly authorize Natalie Guzman, LLC to charge the credit card or debit card associated with your account (“Payment Method”) for all applicable Charges. In addition to these Charges, you may elect to pay your Driver a tip. Natalie Guzman, LLC has the authority and reserves the right to determine and modify pricing by posting applicable pricing terms to your pricing page or quoting you a price for a specific ride at the time you make a request. You are responsible for reviewing the applicable pricing terms and shall be responsible for all Charges incurred under your User account regardless of your awareness of such Charges.

Driver will receive payments from Organizers for Services as employees of Safe Rides with Natalie. Receipt of such payments to Natalie Guzman, LLC satisfies the payer’s obligation.

18. Promotions. From time to time, we may elect to run or otherwise make available promotional offers, deals and/or codes through the Platform. We may establish and modify, in our sole discretion, the terms of any such offer and suspend or end any such offer at any point, with or without notice to you. We reserve the right, in our sole discretion, to reject or refuse to honor any special deal or promotional code you submit to, or otherwise attempt to redeem on, the Platform. Promotional codes are generally limited to one use per User.

TERMS OF USE

The following Terms of Use (“Terms”) constitute a binding legal agreement between you, on the one hand, and Natalie Guzman, LLC dba Safe Rides with Natalie (collectively, "Safe Rides", “we”, “us”, or “our”), on the other hand. These Terms govern your access to and use of any Safe Rides portal, content, products, and related services (collectively, the “Safe Rides Platform”). READ THESE TERMS CAREFULLY AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND NATALIE GUZMAN, LLC.

PLEASE BE ADVISED: THIS AGREEMENT CONTAINS PROVISIONS THAT GOVERN HOW CLAIMS BETWEEN YOU AND NATALIE GUZMAN, LLC CAN BE BROUGHT (SEE SECTION 14 BELOW). THESE PROVISIONS WILL, WITH LIMITED EXCEPTION, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST NATALIE GUZMAN, LLC TO FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, GROUP OR REPRESENTATIVE ACTION OR PROCEEDING. YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS AGREEMENT AND HAVE TAKEN TIME TO CONSIDER THE ARBITRATION PROVISIONS.

By entering into the Terms, and/or by accessing or using the Safe Rides Platform, you expressly confirm that you understand the Terms (including the arbitration provisions in Section 14) and agree to be bound by the Terms. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SAFE RIDES PLATFORM.

These Terms incorporate by reference our Safe Ride Guidelines, Pricing and Payment Terms, and any other pages incorporated herein by reference. For more information, please visit our website at www.SafeRideswithNatalie.com.

1. Right to Modify Terms. PLEASE NOTE THAT THESE TERMS ARE SUBJECT TO CHANGE BY NATALIE GUZMAN, LLC IN ITS SOLE DISCRETION AT ANY TIME. Natalie Guzman, LLC reserves the right to modify these Terms, and such modifications shall be binding on you upon your acceptance of the modified Terms. Continued use of the Safe Rides Platform to arrange for “Services” (defined below) after any such modifications shall constitute your consent to such modifications. Unless material changes are made to the arbitration provisions herein, you agree that modification of these Terms does not create a renewed opportunity to opt out of arbitration (if applicable). Natalie Guzman, LLC also reserves the right to modify any information contained in any pages incorporated herein by reference or any information referenced in any of the hyperlinks set forth in these Terms, and such modifications shall become effective upon posting.

2. The Safe Rides Platform.

a. Generally, Safe Rides with Natalie is an online platform which enables Users to connect, arrange for, and schedule rides for minors and other eligible riders. “Users” refers to and includes (i) Natalie Guzman and employed CareDrivers of Safe Rides with Natalie, who uses an approved personal vehicle to provide transportation and caregiving services (“Driver”); (ii) “Organizers” (including parents/guardians) who need transportation for (a) family members, (b) members of other account-holders’ family, or (c) other riders for whom they are legally authorized to arrange rides (collectively, “Riders”). Organizers and Driver are free to use the Safe Rides Platform to communicate and contract with one another. Services provided by Driver at the request of an Organizer constitute a separate agreement between such persons. Organizers are responsible for paying Driver for the Services they contract for using the Safe Rides Platform.

As a User, you acknowledge that your ability to arrange for, and/or obtain Services using the Safe Rides Platform does not in any way establish Natalie Guzman, LLC or any employee CareDrivers of Safe Rides with Natalie as your employee. No employment or agency relationship exists between you and Natalie Guzman, LLC or employee Care Drivers of Safe Rides with Natalie.

b. Organizers and Riders. Each Organizer will need to create an account in order to access or use the Safe Rides Platform. As an Organizer, you have the ability under your account to add Riders for whom you will be arranging Services and to provide certain information about such Riders. For each Rider that you add to your account, you represent and warrant that you have all authorizations, consents, and approvals to provide any information you submit about such Rider. Riders may be added to more than one account (e.g., a parent/guardian).

c. Individual Ride. A Reserved Ride that occurs one time.

d. Recurring Rides. A series of Reserved Rides for a specific time, day of the week, or recurring pattern.

e. Local Ride. A ride that begins and ends within the Local Service Areas. See www.saferideswithnatalie.com for current maps.

f. Non-Local Ride. A ride that begins or ends outside of the Local Service Area. See www.saferideswithnatalie.com for current maps.

g. Service Area. Safe Rides with Natalie drives in Southlake, Frisco, and Allen, TX as Local Service Areas. See www.saferideswithnatalie.com for current maps of boundaries.

h. Availability. Organizers may request rides via the Platform by completing a form request that includes all details of the ride including Rider information, pick up time and location, drop off time and location, name and contact information of the emergency contact adult, and details of pick up and drop off procedures. Once the ride availability has been approved by Safe Rides with Natalie the Ride Quote is created and emailed for the Organizer to review, sign and return the Service Contract.

i. Registration. A non-refundable annual fee is paid to Register each Organizer. The fee for Registration is dependent on the frequency and distance of the Reserved Rides planned.

j. Scheduling. After Safe Rides with Natalie has confirmed Availability and the Service Contract has been signed and returned, the Organizer will complete a Date Request form on the Platform. All dates that are requested will be reviewed by Safe Rides with Natalie to assure availability and then Rides will be Reserved.

k. Reserved Rides. Organizers are notified of Reserved Rides by email once the Date Request form has been approved by Safe Rides with Natalie. These reservations are exclusive to the Organizer unless they have been notified to be a Shared Ride (referenced in Section
2(m)). Modification of any Reserved Ride will follow the referenced Reservation Modifications below in Section 2(n).

l. Carpool. Shared rides (a “Carpool”) are available through the Platform. To initiate a Carpool, an Organizer must have approval from the Driver and invite at least one other Organizer to join the ride. Organizers can set up an Individual Carpool or Recurring Carpools. The Organizer, that has initiated the Carpool is responsible for the Carpool fare upon completion of the ride. Invoices for Carpools will not be divided and it is the responsibility of the Organizer to be paid/reimbursed for Carpool fares. Organizers can accept multiple Carpool invitations. 

m. Shared Rides. “Shared Rides” are available when the Driver is able to accommodate pick up or drop off of Riders from same/similar locations for multiple Organizers. Organizers will be notified in advance of the opportunity to Share Rides and are not required to accept. Shared Rides are given a minimum $5.00 discount to each Organizer invoiced for the Shared Ride.

n. Reservation Modifications. From time to time plans change and may require a Reserved Ride to be changed. Below are definitions, procedures, and consequences (if required) for making modifications to a Reserved Ride.

o. Changed Reservation Time. A Reserved Ride that has a modification to the pick up or drop off time only. Notice of a modification to a Reserved Ride time should take place, when possible, more than 48 hours in advance by completing a Date Request form on the Platform. Natalie Guzman will review Availability and notify the Organizer if the request for a new time has been approved or not. If the new time cannot be accommodated, the Organizer will have the option to continue with previously Reserved Ride time or the ride will be canceled. Consequences of Canceled Reserved Rides are referenced below in Section 2(r).

p. Changed Reservation Date. A Reserved Ride that has a modification to the pick up or drop off date only. Notice of a modification to a Reserved Ride time should take place, when possible, more than 48 hours in advance by completing a Date Request form on the Platform. Natalie Guzman will review Availability and notify the Organizer if the request for a new date has been approved or not. If the new date cannot be accommodated, the Organizer will have the option to continue with previously Reserved Ride date or the ride will be canceled. Consequences of Canceled Reserved Rides are referenced below in Section 2(r).

q. Changed Reservation Frequency. A modification to the pick up or drop off frequency is specific to Recurring Reserved Rides Section 2(d). Notice of a modification to a Recurring Reserved Ride times, dates, or days of the week should take place, when possible, more than 30 days in advance of the next Reserved Ride by completing a Date Request form on the Platform. Safe Rides with Natalie will review Availability and notify the Organizer if the request for the Reservation Modification has been approved or not. If the request cannot be accommodated, the Organizer will have the option to continue with the previously Reserved Ride Frequency or the ride will be canceled. Consequences of Canceled Reserved Rides are referenced below in Section 2(r).

r. Canceled Reserved Ride. When a Reserved Ride is no longer needed by the Organizer or can no longer be accommodated by Driver Availability. Consequences of Canceled Reserved Rides are referenced below.

s. Individual Reserved Ride Cancelation. When an Individual Ride is no longer needed by the Organizer, an email must be received at driver@saferideswithnatalie.com a minimum of 48 hours in advance of the Reserved Ride in order to avoid a Cancelation Fee (referenced below in Section 2(dd)). Exceptions to Cancelation Fee charges are referenced in Section 2(ee).

t. Recurring Reserved Ride or Before/After School Ride Cancelation. When an Recurring Ride is no longer needed by the Organizer, an email must be received by at driver@saferideswithnatalie.com a minimum of 30 days in advance of the next Reserved Ride in order to avoid a Cancelation Fee (referenced below in Section 2(dd)). Exceptions to Cancelation Fee charges are referenced in Section 2(ee). Summer/Fall School Rides dates are 8/12/24 - 1/3/25 6:30 am - 8:30 am and 2:30 pm - 5 pm, Winter/Spring School Rides dates are 1/6/25 - 5/23/25 6:30 am - 8:30 am and 2:30 pm - 5 pm. Extracurricular Fall dates are 8/19/24 - 11/1/24 5 pm - 6:30 pm, Extracurricular Winter dates are 11/4/24 - 3/14/25 5 pm - 6:30 pm, Extracurricular Spring dates are 3/24/25 - 5/23/25 5 pm - 6:30pm.

u. Late for Reserved Rides. All Reserved Ride pick up times should be made to allow for the Rider to begin the ride at pick up time. Driver will wait for Rider(s) for 10 minutes after the Reserved Ride pick up time. Contact will be made with the Organizer, the Emergency Contact for the Rider, and the Rider if their contact information has been provided. NO RIDER WILL BE LEFT BEHIND WITHOUT SPEAKING TO AN ADULT CONTACT. If a Rider has two or more instances of arriving for a Reserved Ride late, Availability will be reviewed to Change Reservation Time. If a Rider has three or more instances of arriving for a Reserved Ride late, the Reserved Ride will be at risk for cancelation by Safe Rides with Natalie and Registration Fee may be required to make future Reserved Rides. Charges (referenced below in Section 2(dd)) and exceptions to Late Fees are referenced in Section 2(ee).

v. No Show for Reserved Rides. All Reserved Ride pick up times should be made to allow for the Rider to begin the ride at pick up time. Driver will wait for Rider(s) for 10 minutes after the Reserved Ride pick up time. Contact will be made with the Organizer, the Emergency Contact for the Rider, and the Rider if their contact information has been provided. NO RIDER WILL BE LEFT BEHIND WITHOUT SPEAKING TO AN ADULT CONTACT. If a Rider has one or more instances of NOT ARRIVING for a Reserved Ride, Availability will be reviewed to Change Reservation Time. If a Rider has two or more instances of NOT ARRIVING for a Reserved Ride, the Reserved Ride will be at risk for cancelation by Safe Rides with Natalie and Registration Fee may be required to make future Reserved Rides. Charges (referenced below in Section 2(dd)) and exceptions to No Show Fees are referenced in Section 2(ee).

w. Invoice. Notice of charges for Registration, Reserved Rides, and Fees will be reflected on a weekly basis to the Organizers account invoice. Invoices are sent to the email provided on the Organizer account and are also available by logging in directly to the Platform. Records of prior invoices and future invoices for Reserved Rides are available to print or save for Organizer bookkeeping needs in the Platform.

x. Charges and Fees. Charges for Reserved Rides and Fees will be itemized weekly on Invoices.

y. Discounts. Safe Rides with Natalie may offer promotional codes to be used toward future invoices. You must enter the promotional code when making payment to the invoice in order to have your invoice total decrease. No refunds will be given if promotional code is not entered prior to payment. If you are having difficulty using a promotional code, email driver@saferideswithnatalie.com.

z. Payments. Payment for Reserved Rides is due weekly on Fridays and is made online through the Platform only. Organizers may make payment in advance of due dates by choosing the appropriate future invoice date in the Platform.

z1. Auto-pay. Payment information can be stored to allow for easier payments for Reserved Rides. This service is required for Before / After School Rides and is optional for any other rides that have a routine frequency. Summer/Fall School Rides dates are 8/12/24 - 1/3/25 6:30 am - 8:30 am and 2:30 pm - 5 pm, Winter/Spring dates are 1/6/25 - 5/23/25 6:30 am - 8:30 am and 2:30 pm - 5 pm. 

aa. Gratuity. The opportunity to add gratuity is provided at the payment screen for each invoice. Gratuity is not expected, but is appreciated.

bb. Late Payments. Payment for Reserved Rides is due weekly on Fridays. Invoices not paid by 12PM Saturday will be charged a $25 fee, with an additional fee of $10 per day late added until the balance is paid. Reserved Rides may be suspended until outstanding invoice is paid. If you are experiencing a Financial Hardship, email driver@saferideswithnatalie.com.

cc. Financial Hardship. Loss of employment, hospitalization, and extended illness may cause a Financial Hardship. Notice of financial hardship by email to driver@saferideswithnatalie.com may allow Organizers an additional grace period for invoiced charges to be due without penalty. The Financial Hardship decision is made on a case by case basis as to what financial relief may be offered.

dd. Schedule of Charges and Fees. Below are charges and fee categories that may appear on your Invoice. The fees listed below may change at any time as reviewed in Section 1.

ee. Exceptions. Charges or Fees may be waived with notice of Financial Hardship (referenced in Section 2(cc)), Rider Illness (referenced in Section 2(ff)), or unplanned circumstances. The Financial Hardship decision is made on a case by case basis as to what financial relief may be offered. To discuss if you qualify for an Exception, email driver@saferideswithnatalie.com.

ff. Illness. Riders are unable to use Reserved Rides if they have any of the following symptoms: fever of 100° or higher, vomiting, diarrhea, or pink eye within 24 hours of a Reserved Ride. Confirmed diagnosis of flu, COVID-19, pink eye and strep throat will require the Rider to refrain from rides for 5 business days or symptoms are no longer present for 24 hours without the use of medication. Email driver@saferideswithnatalie.com as soon as symptoms present or diagnosis is made.

gg. Time Off. Safe Rides with Natalie will follow the Keller ISD, Carroll ISD, Grapevine-Colleyville ISD, Frisco ISD, and Allen ISD student calendars for observed holidays, lockdown, and inclement weather closures. 30 days notice will be given for any changes to Reserved Rides for Driver availability. When needed, Safe Rides with Natalie will provide a discount for any rides not fulfilled due to an unavailable Driver.
Summer/Fall School Rides dates are 8/12/24 - 1/3/25 6:30 am - 8:30 am and 2:30 pm - 5 pm, Winter/Spring dates are 1/6/25 - 5/23/25 6:30 am - 8:30 am and 2:30 pm - 5 pm. Extracurricular Fall dates are 8/19/24 - 11/1/24 5 pm - 6:30 pm, Extracurricular Winter dates are 11/4/24 - 3/14/25 5 pm - 6:30 pm, Extracurricular Spring dates are 3/24/25 - 5/23/25 5 pm - 6:30pm.

hh. Additional Features. We are always looking for ways to improve our Platform and may add, change, or remove features or offerings at any time.

3. Requirements for use of the Safe Rides Platform. In order to use the Safe Rides Platform, you warrant your understanding and agreement to all of the following requirements:

a. You must be at least eighteen (18) years of age and have the right, authority, and capacity to enter into and abide by the terms and conditions of these Terms.

b. You must create an account on our Safe Ride Platform with an authentic email address. You agree not to create more than one account as an Organizer. You must not use a false identity or provide any false information to create your account. You may not create an account for someone else unless you have the legal authority to do so. You shall have no ownership or other property interest in your account.

c. You must safeguard your username and password information. You may not share this information with anyone else and are responsible for all activity under your account. You agree that you shall monitor your account to restrict use by minors and you shall not allow your children to use your account.

d. We agree to provide and maintain true, accurate, current and complete information about Drivers at all times.

e. Safe Rides with Natalie reserves the right to remove or reclaim any usernames at any time and for any reason.

f. You must provide all equipment and software necessary to connect to the Safe Rides Platform, including but not limited to, a mobile device that is suitable to connect with and use the Platform and apps to view the Platform. You are solely responsible for any expenses or fees, including Internet connection or mobile fees that you incur when accessing the Platform.

g. We must treat all information about Users, including profile information about Organizers and Riders, and other “User Submissions” (defined below) as confidential information. We may use this information only for the purpose of fulfilling Services as a Driver and/or as reasonably necessary to participate in the Services you arrange for, using the Safe Rides Platform. We may not otherwise share this information with any third party.

h. You acknowledge and agree that we will save e-mails/texts ("communication") placed or received via the Platform (such as between Driver and Organizers and/or Riders) and such communication will be stored by us. BY ACCEPTING THE TERMS AND SENDING OR REPLYING TO A COMMUNICATION THROUGH THE PLATFORM (WHETHER AS AN ORGANIZER OR RIDER), YOU EXPLICITLY CONSENT TO NATALIE GUZMAN,LLC STORING SUCH COMMUNICATION. IF YOU DO NOT CONSENT TO SUCH STORAGE, DO NOT SEND OR REPLY TO EMAIL/TEXT THROUGH THE PLATFORM.

4. Mobile Application.

a. Subject to your compliance with these Terms, Safe Rides with Natalie will give you access to the Driver GPS location during Services on a mobile device that you own or control with a phone number or email registered to your Organizer profile and is solely to access the Platform for your own internal purposes.

b. The following applies to any Apple iOS Application:

(i). You acknowledge and agree that (a) these Terms are between you and Natalie Guzman, LLC only, and not Apple, and (b) Apple, and not Natalie Guzman, LLC is solely responsible for the Apple iOS Application and content thereof. Your use of the Apple iOS Application must comply with the Apple Media Services Terms and Conditions.

(ii). You acknowledge that Safe Rides with Natalie has no obligation whatsoever to furnish any maintenance and support services with respect to the Apple iOS Application "GoogleMaps".

c. The following applies to any Application accessed through or downloaded from the Google Play Store (“Google-Sourced Application”): (i) you acknowledge that these Terms are between you and Natalie Guzman, LLC only, and not with Google, Inc. (“Google”); (ii) your use of Google-Sourced Application must comply with Google’s then-current Google Play Store Terms of Service; (iii) Google is only a provider of the Google Play Store where you obtained the Google-Sourced Application; (iv) Google, and not Natalie Guzman, LLC is solely responsible for its Google-Sourced Application; (v) Natalie Guzman, LLC has no obligation or liability to you with respect to Google-Sourced Application or these Terms.

d. Certain features of the Platform require access to and use of the Driver device’s map features or functionality, such as Google Maps, or other third party services. Any use of those features will be subject to the terms and conditions applicable to such third party services.

e. You understand that the Safe Rides Platform is evolving. As a result, Safe Rides with Natalie may require you to accept updates to the GPS Application or other software that you have installed on your computer or mobile device. You acknowledge and agree that Safe Rides with Natalie may update the GPS Application with or without notifying you. You may need to update third party software from time to time in order to use the Platform or GPS Application.

5. Communication from Safe Rides with Natalie. By entering into these Terms or using the Platform, you agree to receive communications from us, including via e-mail, text message, and calls. You agree that texts, calls or prerecorded messages may be generated by automated telephone dialing systems. Communications between Safe Rides with Natalie and other Users, including Drivers and Organizers, may include but are not limited to: improving or using the Platform, operational communications concerning your account or the Services you receive, updates concerning new and existing features relating to the Platform, communications concerning promotions run by us or our third-party partners, and news concerning Safe Rides with Natalie and industry developments. We do not charge for this feature. However, any standard text messaging charges applied by your cell phone carrier will apply to text messages we send.

IF YOU WISH TO OPT OUT OF PROMOTIONAL EMAILS, YOU CAN UNSUBSCRIBE FROM OUR PROMOTIONAL EMAIL LIST BY FOLLOWING THE UNSUBSCRIBE OPTIONS IN THE PROMOTIONAL EMAIL ITSELF. IF YOU WISH TO OPT OUT OF PROMOTIONAL CALLS OR TEXTS, YOU MAY REPLY “STOP” TO A SAFE RIDES WITH NATALIE TEXT MESSAGE FROM THE MOBILE DEVICE RECEIVING THE MESSAGES. YOU ACKNOWLEDGE THAT YOU ARE NOT REQUIRED TO CONSENT TO RECEIVE PROMOTIONAL TEXTS OR CALLS AS A CONDITION OF USING THE SERVICES OR THE SERVICES.

IF YOU WISH TO OPT OUT OF ALL TEXTS OR CALLS FROM SAFE RIDES WITH NATALIE (INCLUDING OPERATIONAL OR TRANSACTIONAL TEXTS OR CALLS), YOU CAN REPLY “STOPALL” TO A  SAFE RIDES WITH NATALIE TEXT MESSAGE FROM THE MOBILE DEVICE RECEIVING THE MESSAGES, HOWEVER YOU ACKNOWLEDGE THAT BY OPTING OUT OF RECEIVING ALL CALLS OR TEXTS YOU WILL NO LONGER BE ABLE TO USE THE SERVICES, AS SUCH COMMUNICATIONS ARE NECESSARY FOR PROVIDING THE SERVICES. WE WILL NOT BE LIABLE FOR ANY DELAYS IN THE RECEIPT OF ANY SMS MESSAGES AS DELIVERY IS SUBJECT TO EFFECTIVE TRANSMISSION FROM YOUR MOBILE SERVICE OPERATOR.

6. Intellectual Property.

a. Except for User Submissions (defined below) and third party content, the Platform, including text, software, graphics, photos, interactive features and other content and the trademarks displayed on the Platform, including the Safe Rides with Natalie website, are owned by Natalie Guzman, LLC and its licensors and are subject to copyright, trademark, and other intellectual property rights under U.S. and international laws.

7. User Submissions. The Safe Rides Platform may enable you to post, upload, e-mail, transmit or otherwise make available, your own content, information, data or materials (“User Submissions”). User Submissions are the sole responsibility of the party from whom such User Submissions originated. You grant us a non-exclusive, fully-paid, world-wide, transferable, perpetual, irrevocable, royalty-free license, with the right to grant sublicenses, to display, publicly perform, distribute, store, transcode, broadcast, transmit, reproduce, edit, modify, create derivative works, and otherwise use your User Submissions in any manner, in any medium, for any purpose in connection with the Safe Ride Platform, website or Application. You acknowledge and agree that you have no expectation of compensation, privacy, or confidentiality with respect to any User Submission. User Submissions may be available to other Users (such as Organizers). We may refuse or remove User Submissions at any time. You represent and warrant that you own all rights in your User Submissions or you have acquired all necessary rights in your User Submissions to enable you to grant Natalie Guzman, LLC the rights in your User Submissions described above. We have no obligation to pre-screen User Submissions or any other content on the Safe Rides Platform, although we reserve the right in our sole discretion to pre-screen, refuse or remove such content.

8. Feedback. Safe Rides with Natalie is continually looking to improve its Platform and encourages Users to provide feedback about their experience using the Platform and the Services that Users provide or arrange for through the Platform or website. All Users consent to feedback from other Users. Feedback on Driver may be shared with Users and may be used for any purpose without attribution, accounting or compensation to you.

9. Third Party Websites and Service Providers. As a part of the Safe Rides Platform, you may have access to materials that are hosted by another party (including the maps referenced above in Section 4(d)). You agree that it is impossible for Natalie Guzman, LLC to monitor such materials and that you access these materials at your own risk. The Safe Rides Platform may provide information from and links to third party websites and applications (“Third Party Websites”) and advertisements for third parties (collectively, “Third Party Websites & Ads”). When you click on a link to any Third Party Websites & Ads, we will not warn you that you have left our website or Platform and are subject to the terms and conditions (including privacy policies) of another website, application or destination. Such Third Party Websites are not under the control of Natalie Guzman, LLC. Natalie Guzman, LLC is not responsible for any Third Party Websites & Ads. Natalie Guzman, LLC provides these Third Party Websites & Ads only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Websites & Ads, or their products or services. You use all links in Third Party Websites & Ads at your own risk. When you leave our website or Platform, our Terms no longer govern. You should review applicable terms and policies, including privacy and data gathering practices, of any Third Party Websites, and should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.

10. Disclaimer. YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE SAFE RIDES PLATFORM, INCLUDING ANY SERVICES PROVIDED BY DRIVERS, IS AT YOUR SOLE RISK, AND THE SAFE RIDES PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS, WHETHER KNOWN OR UNKNOWN. NATALIE GUZMAN, LLC AND ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, AFFILIATES, AGENTS, AND LICENSORS (COLLECTIVELY, THE “COVERED PARTIES”) DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE AND NON-INFRINGEMENT). THIS PROVISION ALSO APPLIES TO, WITHOUT LIMITATION, ANY BOOSTER SEATS THAT MAY BE PROVIDED BY NATALIE GUZMAN, LLC OR ORGANIZER OR THE INSTALLATION OF SUCH BOOSTER SEATS BY DRIVERS. THE COVERED PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF CONTENT AVAILABLE ON OR THROUGH THE SAFE RIDES PLATFORM OR FOR THE CONDUCT OF THE RIDERS, OR OTHER USERS.

WE DO NOT GUARANTEE ORGANIZERS THAT ANY RIDE REQUEST WILL BE ACCEPTED BY SAFE RIDES WITH NATALIE. TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE COVERED PARTIES ARE NOT LIABLE FOR THE ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, OR NEGLIGENCE OF ANY USERS OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM. WE DO NOT REPRESENT OR ENDORSE, AND SHALL NOT BE RESPONSIBLE FOR YOUR ABILITY OR INABILITY TO ARRANGE FOR SERVICES USING THE SAFE RIDES PLATFORM. NATALIE GUZMAN, LLC SHALL NOT BE LIABLE FOR ANY DELAY IN OR FAILURE TO PERFORM ANY SERVICES.

11. Limitation of Liability. YOU UNDERSTAND AND AGREE THAT IN NO EVENT WILL THE COVERED PARTIES BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STATUTORY, OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF REVENUES, PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF COVERED PARTIES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM OR RELATING TO YOUR USE OF THE SAFE RIDES PLATFORM OR SERVICES. IN NO EVENT SHALL THE COVERED PARTIES’ TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT OF FEES WE RECEIVE FROM YOUR RIDE REQUESTS IN THE ONE (1) MONTH PRIOR TO THE DATE OF THE EVENT GIVING RISE TO OUR LIABILITY, OR (Ii) ONE THOUSAND DOLLARS ($1000.00). THE FOREGOING LIMITATIONS OF LIABILITY SHALL NOT APPLY TO LIABILITY OF A COVERED PARTY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY A COVERED PARTY’S NEGLIGENCE; OR FOR (B) ANY INJURY CAUSED BY A COVERED PARTY’S FRAUD OR FRAUDULENT MISREPRESENTATION. THE FOREGOING LIMITATIONS OF LIABILITY ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN NATALIE GUZMAN, LLC AND YOU.

12. Indemnity. You agree to indemnify and hold harmless the Covered Parties against any and all claims, damages, losses, costs, liabilities, and expenses or fees (including reasonable attorneys’ fees), of any kind, relating to or arising out of: (i) your use of the Safe Ride Platform or Services; (ii) your (or in the case of Organizers, your Riders’) violation or breach of any provision of these Terms, the Safe Rides with Natalie Rules, or any applicable law or regulation, whether or not referenced herein; (iii) your violation of any rights of any third party; (iv) your use of, or inability to use, the Safe Ride Platform to arrange for Services or for any reason.

13. Term and Termination. These Terms may be terminated by User, without cause, upon seven (7) days’ written notice to Safe Rides with Natalie, or by either Party immediately, without notice, upon the other Party’s material breach of the Terms. In addition, Natalie Guzman, LLC may terminate the Terms or deactivate your User account immediately in the event (i) you no longer qualify to arrange for Services or; (ii) Natalie Guzman, LLC has the good faith belief that such action is necessary to protect the safety of the Safe Rides with Natalie community or third parties; or, (iii) you fall below any applicable User cancellation threshold. In the event of deactivation pursuant to (i)-(iii) above, you will be given notice of the potential or actual deactivation and an opportunity to cure the breach. If the breach is cured in a timely manner and to Natalie Guzman, LLCs satisfaction, your account and the Terms will not be permanently deactivated. You may not use the Safe Rides Platform after your account has been deactivated unless expressly authorized by Natalie Guzman, LLC. Sections 2, 4(e), 5, 6, 7, 10-12, and 14-18 shall survive any termination or expiration of the Terms.

14. Dispute Resolution. PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH NATALIE GUZMAN, LLC AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. THIS SECTION 14 OF THE TERMS SHALL BE REFERRED TO AS THE “ARBITRATION AGREEMENT.”

a. Agreement to Binding Arbitration Between You and Natalie Guzman, LLC. YOU AND NATALIE GUZMAN, LLC MUTUALLY AGREE TO WAIVE THE RIGHT TO RESOLUTION OF DISPUTES IN A COURT OF LAW BY A JUDGE OR JURY AND AGREE TO RESOLVE ANY DISPUTE BY ARBITRATION, as set forth below. The Arbitration Agreement is governed by the Federal Arbitration Act and survives after the Terms terminates or your relationship with Safe Rides with Natalie ends. ANY ARBITRATION UNDER THIS ARBITRATION AGREEMENT WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. Except as expressly provided below, this Arbitration Agreement applies to all “Claims” (defined below) between you and Natalie Guzman, LLC, including our affiliates, subsidiaries, parents, successors and assigns, and each of our respective officers, directors, employees, agents, or shareholders.

Except as expressly provided below, ALL DISPUTES AND CLAIMS BETWEEN US (EACH A “CLAIM” AND COLLECTIVELY, “CLAIMS”) SHALL BE EXCLUSIVELY RESOLVED BY BINDING ARBITRATION SOLELY BETWEEN YOU AND NATALIE GUZMAN, LLC. These Claims include, but are not limited to, any dispute, claim or controversy, whether based on past, present, or future events, arising out of or relating to: the Terms and prior versions thereof (including the breach, termination, enforcement, interpretation or validity thereof), the Safe Rides Platform, the Services, any other goods or services made available through the Safe Rides Platform, your relationship with Safe Rides with Natalie, the threatened or actual suspension, deactivation or termination of your User account or the Terms, payments made by you or any payments made or allegedly owed to you, any promotions or offers made by Safe Rides with Natalie; and all other federal and state statutory and common law claims. All disputes concerning the arbitrability of a Claim (including disputes about the scope, applicability, enforceability, revocability or validity of the Arbitration Agreement) shall be decided by the arbitrator, except as expressly provided below.

BY AGREEING TO ARBITRATION, YOU UNDERSTAND THAT YOU AND NATALIE GUZMAN, LLC ARE WAIVING THE RIGHT TO SUE IN COURT OR HAVE A JURY TRIAL FOR ALL CLAIMS, EXCEPT AS EXPRESSLY OTHERWISE PROVIDED IN THIS ARBITRATION AGREEMENT. This Arbitration Agreement is intended to require arbitration of every claim or dispute that can lawfully be arbitrated, except for those claims and disputes which by the terms of this Arbitration Agreement are expressly excluded from the requirement to arbitrate.

b. Prohibition of Class Actions and Non-Individualized Relief. YOU UNDERSTAND AND AGREE THAT YOU AND NATALIE GUZMAN, LLC MAY EACH BRING CLAIMS IN ARBITRATION AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT ON A CLASS, COLLECTIVE ACTION, OR REPRESENTATIVE BASIS (“CLASS ACTION WAIVER”). YOU UNDERSTAND AND AGREE THAT YOU AND NATALIE GUZMAN, LLC BOTH ARE WAIVING THE RIGHT TO PURSUE OR HAVE A DISPUTE RESOLVED AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. NOTWITHSTANDING THE FOREGOING, THIS SUBSECTION (B) SHALL NOT APPLY TO REPRESENTATIVE PRIVATE ATTORNEYS GENERAL ACT CLAIMS BROUGHT AGAINST NATALIE GUZMAN, WHICH ARE ADDRESSED SEPARATELY IN SECTION 14(C).

The arbitrator shall have no authority to consider or resolve any Claim or issue any relief on any basis other than an individual basis. The arbitrator shall have no authority to consider or resolve any Claim or issue any relief on a class, collective, or representative basis. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claims.

Notwithstanding any other provision of the Terms, the Arbitration Agreement or the JAMS Rules, disputes regarding the scope, applicability, enforceability, revocability or validity of the Class Action Waiver may be resolved only by a civil court of competent jurisdiction and not by an arbitrator. In any case in which: (i) the dispute is filed as a class, collective, or representative action, and (ii) there is a final judicial determination that the Class Action Waiver is unenforceable as to any Claims, then those Claims shall be severed from any remaining claims and may be brought in a civil court of competent jurisdiction, but the Class Action Waiver shall be enforced in arbitration on an individual basis as to all other Claims to the fullest extent possible.

c. Rules Governing the Arbitration. Any arbitration conducted pursuant to this Arbitration Agreement shall be administered by the Judicial Arbitration and Mediation Services (“JAMS”) pursuant to its General Arbitration Rules & Procedures (“JAMS Rules”) that are in effect at the time the arbitration is initiated, as modified by the terms set forth in this Arbitration Agreement. Copies of the JAMS Rules can be obtained at the JAMS’s website (www.jamsadr.com/adr-rules-procedures) or by calling the JAMS at 1-800-352-5267. Notwithstanding the foregoing, if requested by you and if proper based on the facts and circumstances of the Claims presented, the arbitrator shall have the discretion to select a different set of JAMS Rules, but in no event shall the arbitrator consolidate more than one person’s Claims, or otherwise preside over any form of representative, collective, or class proceeding. The Parties may select a different arbitration administrator upon mutual written agreement.

As part of the arbitration, both you and Natalie Guzman, LLC will have the opportunity for reasonable discovery of non-privileged information that is relevant to the Claim. The arbitrator may award any individualized remedies that would be available in court. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claims. The arbitrator will provide a reasoned written statement of the arbitrator’s decision which shall explain the award given and the findings and conclusions on which the decision is based.

The arbitrator will decide the substance of all claims in accordance with applicable law, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different Riders, but is bound by rulings in prior arbitrations involving the same Rider to the extent required by applicable law. The arbitrator’s award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof, provided that any award may be challenged in a court of competent jurisdiction.

d. Arbitration Fees and Awards. The payment of filing and arbitration fees will be governed by the relevant JAMS Rules subject to the following modifications:

1. If you initiate arbitration under this Arbitration Agreement after participating in the optional Negotiation process described in subsection (h) below and are otherwise required to pay a filing fee under the relevant JAMS Rules, Natalie Guzman, LLC agrees that, unless your claim is for $1,000 or more, your share of the filing and arbitration fees is limited to $50, and that, after you submit proof of payment of the filing fee to Natalie Guzman, LLC, Natalie Guzman, LLC will promptly reimburse you for all but $50 of the filing fee. If, however, the arbitrator finds that either the substance of your claim or the relief sought in the claim is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all such fees will be governed by the JAMS Rules.

2. If Natalie Guzman, LLC initiates arbitration under this Arbitration Agreement, Natalie Guzman, LLC will pay all JAMS filing and arbitration fees.

3 Except as provided in Federal Rule of Civil Procedure 68 or any state equivalents, each party shall pay its own attorneys’ fees and pay any costs that are not unique to the arbitration (i.e., costs that each party would incur if the claim(s) were litigated in a court such as costs to subpoena witnesses and/or documents, take depositions and purchase deposition transcripts, copy documents, etc.).

4. At the end of any arbitration, the arbitrator may award reasonable fees and costs or any portion thereof to you if you prevail, to the extent authorized by applicable law.

5. Under some laws Natalie Guzman, LLC may have a right to an award of attorneys’ fees and non-filing fee expenses if it prevails in an arbitration, Natalie Guzman, LLC will seek such an award regardless if you are represented by an attorney or the arbitrator has determined that the claim is frivolous or brought for an improper purpose.

6. If the arbitrator issues you an award that is greater than the value of Natalie Guzman, LLCs last written settlement offer made after you participated in good faith in the optional Negotiation process described in subsection (h) below, then Natalie Guzman, LLC will pay you the amount of the award or U.S. $1,000, whichever is greater.

e. Location and Manner of Arbitration. Unless you and Natalie Guzman, LLC agree otherwise, any arbitration hearings between Natalie Guzman and an Organizer will take place in the county of your billing address. If JAMS arbitration is unavailable in your county, the arbitration hearings will take place in the nearest available location for a JAMS arbitration.

f. Exceptions to Arbitration. This Arbitration Agreement shall not require arbitration of small claims actions brought on an individual basis that are within the scope of such small claims court’s jurisdiction.

g. Severability. In addition to the severability provisions in subsections (c) above, in the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable under applicable law, such provision shall be severed and the remainder of the Arbitration Agreement shall be given full force and effect.

h. Optional Pre-Arbitration Negotiation Process. Before initiating any arbitration or proceeding, you and Natalie Guzman may agree to first attempt to negotiate any dispute, claim or controversy between the parties informally for 30 days, unless this time period is mutually extended by you and Natalie Guzman, LLC. A party who intends to seek negotiation under this subsection must first send to the other a written notice of the dispute (“Notice”). The Notice must (1) describe the nature and basis of the claim or dispute; and (2) set forth the specific relief sought. All offers, promises, conduct and statements, whether oral or written, made in the course of the negotiation by any of the parties, their agents, employees, and attorneys are confidential, privileged and inadmissible for any purpose, including as evidence of liability or for impeachment, in arbitration or other proceeding involving the parties, provided that evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable as a result of its use in the negotiation.

15. General. Except as provided in Section 14, any enforcement of or dispute relating to these Terms shall be governed by the laws of the State of Texas without regard to choice of law principles. This choice of law provision is only intended to specify the use of Texas law to interpret these Terms and is not intended to create any other substantive right to non-Texans to assert claims under Texas law whether by statute, common law, or otherwise. If any provision of these Terms is or becomes invalid or non-binding, the parties shall remain bound by all other provisions of these Terms. In that event, the parties shall replace the invalid or non-binding provision with provisions that are valid and binding and that have, to the greatest extent possible, a similar effect as the invalid or non-binding provision, given the contents and purpose of these Terms. You agree that these Terms and all incorporated policies and agreements may be automatically assigned by Natalie Guzman, LLC, in our sole discretion by providing notice to you. Except as explicitly stated otherwise, any notices to Natalie Guzman, LLC shall be given by certified mail, postage prepaid and return receipt requested to Natalie Guzman, LLC, 2808 Country Glen Lane Keller, TX 76248. Any notices to you shall be provided to you through the Safe Rides Platform or given to you via the email address or physical address you provide to Natalie Guzman, LLC when you create or update your account. A party’s failure to act with respect to a breach by the other party does not constitute a waiver of the party’s right to act with respect to subsequent or similar breaches. These Terms set forth the entire understanding and agreement between you and Natalie Guzman, LLC with respect to the subject matter hereof and supersede all previous understandings and agreements between the parties, whether oral or written.

16. Driver Supplemental Terms. By using the Safe Rides Platform to provide Services as a Driver, we acknowledge, represent, warrant, and agree that:

a. Driver is an employee provider of caregiving and/or transportation services. We use the Safe Rides Platform in order to advertise and connect with Users who wish to arrange for our Services, and we provide Services to other Users of the Platform solely on behalf of ourselves. The relationship between you and Natalie Guzman, LLC under these Terms is as an employee.

b. We retain the sole right to determine when, where, and for how long you will utilize the Safe Rides Platform. We retain the option to accept or to decline an Organizer’s request for Services via the Safe Rides Platform, or to cancel an accepted request for Services via the Safe Rides Platform, subject to Safe Rides with Natalies then-current cancellation policies. We determine the rate for your Services when using the Safe Rides Platform by deciding when, where, how many riders, how many stops, how often to accept ride requests, and which ride requests to accept. c. With the exception of any signage required by law or permit/license rules or requirements, Driver may display Safe Rides with Natalie name, logos or colors on your vehicle(s).

d. Driver has a valid driver’s license and all other required licenses, certifications, permits, approvals and authority to provide transportation and caregiving services to third parties in all jurisdictions in which we operate as a Driver using the Safe Rides Platform. We will provide written copies of all required licenses, permits and other documentation necessary to establish our ability to operate as a Driver to Users.

e. We have and can provide proof of valid liability insurance consistent with all applicable legal requirements that names the Driver for the operation of the vehicle used to provide Services.

f. Driver owns, or has the legal right to operate, the vehicle used when providing Services, and such vehicle is in good operating condition and meets industry and all applicable statutory and state department of motor vehicle requirements for a vehicle of its kind.

g. Driver will only provide Services using the vehicle that has been reported. Natalie Guzman, LLC agrees to update Driver information to reflect any change to the vehicle information and provide all requisite information for vehicle approval in advance of using the vehicle to provide Services.

h. You will not attempt to defraud Driver, other Users, or any other third party on the Safe Rides Platform or in connection with our provision of Services. If we suspect that you have engaged in fraudulent activity we may deactivate your account and/or assess applicable charges for the ride(s) in question.

i. Natalie Guzman, LLC agrees that it will provide information about Drivers background on a continuous and ongoing basis, including criminal history and driving records, and we agree to provide any further necessary authorizations to facilitate our access to such records during the term of these Terms, consistent with applicable law or regulations. We agree to immediately self-report any arrest, conviction, or driving infraction.

j. By accepting a ride request, Driver is entering into an agreement with the Organizer to transport the Rider to a predetermined drop off location. Driver must transport a Rider directly to the predetermined drop-off location selected by the Organizer.

k. We must be able to provide satisfactory verification of our identity to the Organizer as the Driver that is matched with the Rider. We are not required to wear a Safe Rides with Natalie t-shirt or other Safe Rides with Natalie-branded apparel. Nothing in these Terms shall limit our right to display another business name, logo or colors on our vehicle or our apparel.

l. Communication must be available between Organizer and Rider to whom the Driver provides Services.

m. Natalie Guzman, LLC complies with all state and federal laws, local ordinances and regulations that apply to the operation of a motor vehicle in the jurisdiction in which we provide Services. Driver will not engage in reckless behavior while driving, drive unsafely, operate a vehicle that is unsafe to drive, permit an unauthorized third party to accompany in the vehicle while providing Services, provide Services as a Driver while under the influence of alcohol or drugs, engage in illegal use of a mobile device, or take action that harms or threatens the safety of the Rider or third-parties.

n. Driver acknowledges and agrees to abide by any applicable drug and alcohol testing.

o. Driver must have a current and working cell phone number at all times.

p. Driver must install and use a car seat or booster as required by law.

q. During a ride, Driver must not interfere with the operation of the GPS Application or disable the collection of location-based information from the mobile device.

r. Driver is responsible for maintaining any licenses, vehicle insurance coverage, or certifications required by law, ordinance, or regulation.

s. Driver will make reasonable accommodation for Riders and/or for service animals, as required by law.

t. Driver must not interfere with the operation of the installed 3-way view Dash Cam or disable the collection of location-based, speed, or visual information from the device. Recording data from Rides must be uploaded to the Safe Rides Platform daily. Failure to comply with daily uploads, evidence of interference or if Dash Cam is disabled may result in termination of employment.

17. Pricing and Payment Terms. As an Organizer, you understand that Drivers provide Services directly to you and that your request or use of Driver Services may result in charges to you (“Charges”). Charges include all applicable fees, tolls, surcharges, and taxes as set forth in the Pricing and Payment Terms and your pricing. You expressly authorize Natalie Guzman, LLC to charge the credit card or debit card associated with your account (“Payment Method”) for all applicable Charges. In addition to these Charges, you may elect to pay your Driver a tip. Natalie Guzman, LLC has the authority and reserves the right to determine and modify pricing by posting applicable pricing terms to your pricing page or quoting you a price for a specific ride at the time you make a request. You are responsible for reviewing the applicable pricing terms and shall be responsible for all Charges incurred under your User account regardless of your awareness of such Charges.

Driver will receive payments from Organizers for Services as employees of Safe Rides with Natalie. Receipt of such payments to Natalie Guzman, LLC satisfies the payer’s obligation.

18. Promotions. From time to time, we may elect to run or otherwise make available promotional offers, deals and/or codes through the Platform. We may establish and modify, in our sole discretion, the terms of any such offer and suspend or end any such offer at any point, with or without notice to you. We reserve the right, in our sole discretion, to reject or refuse to honor any special deal or promotional code you submit to, or otherwise attempt to redeem on, the Platform. Promotional codes are generally limited to one use per User.
